End User License Agreement
This End User License Agreement ("Agreement") governs use of the internal billing and operations software (the "Application") operated by Fulton Freight, LLC ("Fulton Freight", "we", "us"), 1720 W Division St, Chicago, IL 60622, USA.
1. Internal use only
The Application is a private business tool intended solely for use by Fulton Freight employees, contractors, and authorized agents in the course of Fulton Freight's freight brokerage operations. It is not offered to, and may not be used by, the general public.
2. License
Fulton Freight grants authorized users a limited, revocable, non-transferable license to use the Application for company business. All rights not expressly granted are reserved by Fulton Freight.
3. Restrictions
- Access credentials may not be shared with unauthorized persons.
- The Application and connected data may not be copied, resold, sublicensed, or used for any purpose other than Fulton Freight business.
- Users may not attempt to circumvent access controls or interfere with the Application's operation.
4. Third-party services
The Application connects to third-party services on the company's behalf, including Intuit QuickBooks Online and Google Workspace, under those services' own terms and authorization flows. Use of those services through the Application remains subject to their respective agreements.
5. Confidentiality and data
Data processed by the Application — including carrier, customer, banking, and accounting records — is confidential business information of Fulton Freight and its counterparties. Handling of personal information is described in our Privacy Policy.
6. Disclaimer of warranty
The Application is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of liability
To the maximum extent permitted by law, Fulton Freight shall not be liable for indirect, incidental, special, or consequential damages arising out of or relating to use of the Application.
8. Termination
Fulton Freight may suspend or terminate access to the Application at any time. Sections 5–7 survive termination.
9. Governing law
This Agreement is governed by the laws of the State of Illinois, without regard to conflict-of-law principles.
